This End User License Agreement (“Agreement”) is entered into between NEMT Cloud Dispatch (“Company,” “we,” “our,” or “us”) and the individual or entity (“Customer,” “User,” or “you”) accessing or using the NEMT Cloud Dispatch software platform and related services.
By accessing, installing, or using our software and services, you agree to be bound by this Agreement.
NEMT Cloud Dispatch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for your internal business operations in accordance with this Agreement.
The NEMT Cloud Dispatch platform, software, source code, trademarks, logos, designs, documentation, and all related intellectual property remain the exclusive property of NEMT Cloud Dispatch and its licensors.
No ownership rights are transferred to you under this Agreement.

You grant NEMT Cloud Dispatch permission to process, store, transmit, and use such data solely for providing and improving the services.

The platform may integrate with third-party systems, including transportation brokers, payment providers, accounting software, mapping services, communication providers, and APIs.
NEMT Cloud Dispatch is not responsible for third-party products, services, availability, or content.
We strive to maintain service availability but do not guarantee uninterrupted or error-free operation.
Maintenance, updates, outages, and technical issues may occasionally impact availability.
Use of the platform may require payment of subscription fees.
Failure to pay applicable fees may result in suspension or termination of access.
All fees are non-refundable unless otherwise agreed in writing.
We may suspend or terminate access if:
Upon termination, your license to use the software immediately ends.
The software is provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, NEMT Cloud Dispatch disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, NEMT Cloud Dispatch shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill.
Our total liability shall not exceed the fees paid by you during the twelve (12) months preceding the claim.
You agree to comply with all applicable federal, state, local, and international laws when using the platform.
We reserve the right to modify this Agreement at any time. Updated versions will be posted on our website and become effective upon posting.
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Arizona, United States, without regard to conflict of law principles.
